How Do You Handle Intellectual Property Protection When a Buyer Shares a Unique Design?
In the world of custom drinkware manufacturing, sharing a unique design is a big step. Whether you are a brand owner, a promotional products distributor, or an entrepreneur with a fresh idea for a stainless steel water bottle or travel tumbler, you need to know that your intellectual property (IP) is safe. At Wuyi Hongtai Stainless Steel Drinkware Co., Ltd., we understand that trust is the foundation of any OEM/ODM partnership. This article explains how we handle IP protection when you share a unique design with us.
Why IP Protection Matters in Custom Manufacturing
Your design is your competitive edge. It could be a new shape for a Travel Tumbler, a special lid mechanism, or a unique graphic pattern like our Christmas Designs Double Wall Thermos Vacuum Insulated Cup Stainless Steel Flask With Handle Lid Coffee Mug (Model HT-065A). If that design is copied or leaked, you lose market advantage and revenue. That is why we treat every shared design with strict confidentiality.
Step 1: Non-Disclosure Agreement (NDA) Before Any Discussion
Before you send us sketches, 3D files, or even a verbal concept, we can sign a mutual Non-Disclosure Agreement (NDA). This legally binds both parties to keep all shared information confidential. It covers:
- Drawings, renderings, and technical specifications
- Material choices, such as stainless steel grades and finishes
- Packaging ideas and branding elements
- Business details like target pricing and volumes
Our team is comfortable working under NDA. We recommend starting with one to set clear expectations.
Step 2: Clarifying Design Ownership and Rights
Once the NDA is in place, we discuss ownership. Typically, the buyer retains full ownership of the unique design. We only use it to manufacture the products you order. We do not resell your design to other clients or use it for our own product line. For the HT-065A Christmas thermos example, if you provided the Christmas artwork, that artwork remains yours. We simply apply it to the stainless steel flask as per your instructions.
Step 3: Mold and Tooling Ownership
If your design requires a new mold or tooling, we clarify who owns it. In most OEM projects, the buyer pays for the mold, and therefore the buyer owns it. We keep the mold at our factory for production but do not use it for anyone else. If you decide to move production later, we can arrange to transfer the mold to you or your new supplier. For ODM projects where we develop a new design together, we can negotiate shared or exclusive rights in a separate agreement.
Step 4: Production Exclusivity and Limits
We are happy to offer exclusivity for your design. This means we will not produce the same custom product for other buyers in your market or for a set period. We also limit access to your design files to only the team members who need them for production, quality control, and shipping. Our factory has secure storage for digital files and physical samples.
Step 5: Documentation and Traceability
Every custom project has a paper trail. We document the design version, approved samples, and production specifications. For example, for a custom Christmas Designs Double Wall Thermos, we would record the approved artwork, the Pantone colors, and the exact model (HT-065A) with its capacity options (350ml or 500ml). This documentation helps prevent mistakes and also serves as evidence of your design ownership in case of any dispute.
